2. quantity / term 數(shù)量/條款
the total quantity of xxx to be shipped under this contract shall be 66,000 wet metric tons plus/minus 10%.
數(shù)量為66000濕公噸+-10%。
3. price價(jià)格
3.1 base price, usd xx/wmt, cif any port in china.
基準(zhǔn)價(jià)cif中國任意港口，xx美元/濕公噸。
3.2 price adjustment
價(jià)格調(diào)整
(a) if xxx is below or above 1.45%, based at the loading port, the base price shall be deducted or increased by usd 1/wmt for each decrease or increase of xxx 0.01%, fraction pro rata.
若裝貨港xxx含量低于或高于1.45%，每0.01%的xxx的降低或增加應(yīng)在基準(zhǔn)價(jià)格相應(yīng)扣除或增加1美元，不足1%的按比例計(jì)算。
(b) if loading sss moisture above 35.0%, the actual weight should be deducted as below formula:

6.1 weight重量
the weight as determined in the certificate of weight by sss testing services philippines shall be the final weight for payment.
菲律賓sss簽發(fā)的重量報(bào)告中的重量將作為雙方接受的最終重量。
6.2 packing: in bulk vessel 包裝：散裝
7. terms of payment付款條件
payment: the buyer shall issue an irrevocable letter of credit payable at 90 days after b/l date in favor of the seller within 10 days after signing of the contract, negotiable at any bank against following documents:
付款方式：合同簽訂后10日內(nèi)，買方應(yīng)開立以賣方為受益人的不可撤銷的90天遠(yuǎn)期信用證，根據(jù)以下單證進(jìn)行議付：
（1）full set of clean on board bill of lading, made out to order and blank endorsed, marked freight payable as per charter party.
全套清潔提單，提單顯示to order,空白背書，運(yùn)費(fèi)支付按照租船合同。
(2) commercial invoice signed by seller in one original.
賣方簽署的商業(yè)發(fā)票正本一份。
（3）certificate of quality issued by sss testing services philippines, fax or photo copy acceptable.
菲律賓sss 出具的品質(zhì)報(bào)告一份，傳真或掃描件可接受。
(4) certificate of weight issued by sss testing services philippines in one copy, fax or photo copy acceptable.
菲律賓sss 出具的重量報(bào)告一份，傳真或掃描件可接受。
8. shipment: before 30th july, 2015船期：2015年7月30日前
9.sampling assay 品質(zhì)檢驗(yàn)
the inspection result at loading port according to the certificate of quality and certificate of weight issued by sss testing services philippines will be final.
菲律賓sss簽發(fā)的質(zhì)量報(bào)告和重量報(bào)告會(huì)是貨物品質(zhì)的決定。
10.delivery 交付
(1) seller shall inform buyer of the shipment of the cargo by writing for buyer
賣方必須于發(fā)貨后書面形式通知買方。
（2） laytime for discharging shall commence 12 hours after the nor is tendered.
卸船時(shí)間從遞交nor后12小時(shí)開始計(jì)算。
（3）unloading rate is 12,000 mt per weather working day(including holidays). demurrage rate usd 9500 pdpr. dispatch half demurrage wts and pro-rata. for each shipment, demurrage/despatch if any to be settled w/i 10 banking days after completion of discharging. dem/des shall be calculated/settled against all relevant supporting documents such as notice of readiness/time sheet/statement of fact.
卸率為12，000噸/晴天（含節(jié)假日）；滯期費(fèi)率為每天9500美元，速遣費(fèi)率為滯期費(fèi)率的一半，不足一天按比例計(jì)算。滯期速遣將于卸貨完成后10個(gè)工作日結(jié)算。
11. non-delivery or deferred delivery 不交貨或者遲延交貨
in the event of failure to affect delivery, due to a cause for which seller or buyer is responsible, the cost and expenditure thereof should be undertaken by responsible party.
因?yàn)橘u方或者買方原因?qū)е虏荒芙回洠a(chǎn)生的相關(guān)費(fèi)用和損失由責(zé)任方承擔(dān)。
12. force majeure不可抗力
force majeure： the seller shall not be held liable for failure delay delivery of the entire lot or a portion of the commodity under this contract in consequence of any force majeure incidents.
不可抗力：本合同內(nèi)所述全部或部分貨物，如因不可抗力的原因，以致不能履約或不得不延期交貨，賣方概不負(fù)責(zé)。
13. arbitration 仲裁
arbitration ： any or all disputes arising from or in connection with the performance of the contract shall be settled through negotiation by both parties ， failing which they shall be submitted for arbitration，the arbitration shall take place in china and shall be conducted by china international economic and trade arbitration commission in accordance with the rules of procedures of the said commission. the arbitration award shall be final and binding upon both buyer and seller. unless otherwise awarded by the said arbitration commission， the arbitration fees shall be borne by the losing party.
仲裁：在執(zhí)行本合同中所發(fā)生的或者與合同有關(guān)的一切爭執(zhí)，由雙方協(xié)商解決。如果協(xié)商后仍不能解決時(shí)，得提請仲裁。仲裁在中國進(jìn)行，由中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，根據(jù)該委員會(huì)的仲裁程序規(guī)則進(jìn)行仲裁。仲裁裁決為最終決定，買賣雙方都應(yīng)服從。 除仲裁委員會(huì)另有決定外，仲裁費(fèi)用由敗訴一方負(fù)擔(dān)。
14. amendments and waivers 修改和棄權(quán)
no amendments, variation, addition or substitution to or for this agreement shall beof any force or effect unless such amendments, variation, addition or substitution is in writing. any waiver must be made in writing.
除非有雙方書面認(rèn)可的修改或棄權(quán)，否則所有修改或棄權(quán)均無約束力。任何棄權(quán)均需書面確認(rèn)。
15. confidentiality 保密條款
the parties acknowledge and agree that the terms and conditions hereto are confidential and neither party may disclose any of such information without the prior written consent of the other party.
買賣雙方認(rèn)可并同意對本合同內(nèi)的規(guī)定及條款保密，任何一方未經(jīng)過對方書面許可，不得泄露給他人。
16. notice 通知
all notices, requests, consents, demands and other documents and communications required or permitted by this agreement shall be inwritten english or chinese language andmay bedelivered personally or be sent by telex, facsimile, email or prepaid registered mail addressing to the other party.
本合同所有涉及的通知，請求，同意，要求和其他文件以及必要或許可的溝通，將用中文或英文書寫，可以采取送達(dá)。電報(bào)，傳真，郵件，掛號(hào)信等方式送達(dá)對方。
17. the contract is written in both english and chinese. in case of conflicts of interpretation between two languages, chinese version precedes.
當(dāng)中英文條款有異議，以中文條款為準(zhǔn)。
